      Services

      NDIDI TECH provides:

      • SaaS products
      • Intranet solutions
      • Technical consulting
      • Related digital services

      User Responsibilities

      You agree to:

      • Provide accurate information
      • Use our services lawfully
      • Maintain the confidentiality of account credentials
      • Avoid activities that may harm our systems or services

      Payments

      Payments for services may be processed through Stripe, Paystack, bank transfer, or other approved payment methods.

      All fees are payable as agreed in the relevant service proposal, quotation, subscription plan, or invoice.

      Refund Policy

      Refunds are provided only where required by law or where specifically agreed in writing.

      Custom software development, website development, consulting services, and completed project milestones are generally non-refundable once work has commenced.

      Intellectual Property

      Unless otherwise agreed in writing:

      • NDIDI TECH retains ownership of its proprietary software, frameworks, tools, and intellectual property.
      • Clients receive ownership rights to deliverables only after full payment has been received.
      • NDIDI TECH may retain rights to reusable components, libraries, and development frameworks.

      SaaS Services

      For SaaS products:

      • Access is provided on a subscription basis.
      • NDIDI TECH may suspend accounts for non-payment or misuse.
      • Subscription fees are subject to change with reasonable notice.

      Availability

      We strive to maintain service availability but do not guarantee uninterrupted access at all times.

      Scheduled maintenance, upgrades, technical issues, and third-party service interruptions may affect availability.

      Limitation of Liability

      To the fullest extent permitted by law, NDIDI TECH shall not be liable for:

      • Indirect damages
      • Loss of profits
      • Loss of data
      • Business interruption
      • Consequential damages

      Our total liability shall not exceed the amount paid by the client for the relevant service during the preceding twelve months.

      Third-Party Services

      Our services may integrate with third-party providers including hosting providers, payment gateways, APIs, and cloud platforms.

      We are not responsible for outages, failures, or actions of third-party providers.

      Termination

      We may suspend or terminate access to our services if these Terms are violated or if continued access poses legal, operational, or security risks.

      Governing Law

      These Terms shall be governed by and interpreted in accordance with the laws applicable in Nigeria unless otherwise agreed in writing.

      Changes to Terms

      We reserve the right to modify these Terms at any time. Updated versions will be published on our website.
